These Terms of Service (“Terms”) govern your access to and use of https://hkxcast.com (the “Site”) and the quotation, sale and supply of aluminium and zinc die casting products and related services (the “Products”) by Ningbo Hexin Mold Co., Ltd. (HKX Die Casting Factory) (“HKX”, “we”, “us”) to a business customer (“you”, “Buyer”).
By using the Site or by placing an order with us, you confirm that you accept these Terms. If you do not accept them, please do not use the Site or place an order. If you are accepting on behalf of a company, you confirm that you have authority to bind that company.
1. About us
We are a manufacturer of aluminium and zinc die castings (high-pressure die casting, low-pressure casting and gravity casting) and of related machined, surface-treated and assembled components. Our production and trading activities are carried out from Ningbo, Zhejiang Province, China.
2. Quotations and orders
Our quotations are prepared on the basis of the drawings, samples, specifications, quantities and Incoterms you provide. Please note that:
- A quotation is an invitation to treat and is valid for 30 days unless we state otherwise.
- A contract is formed only when we confirm your purchase order in writing (for example by e-mail or a signed proforma invoice).
- Quotations are based on the information you supply. If your drawings, tolerances, materials, quantities or finishing requirements change, prices and lead times may be revised.
- We may decline an order if we cannot verify the buyer, if the part may infringe third-party rights, or if supplying it would breach applicable export-control or sanctions rules.
3. Prices, taxes and payment
- Prices are quoted in the currency and unit stated in the quotation (normally USD, EUR or CNY).
- Prices are exclusive of any duties, taxes or levies, unless we expressly state otherwise.
- Unless otherwise agreed in writing, payment terms are a deposit with the order and the balance before shipment, by T/T (bank transfer) to the account stated on our invoice.
- We may require a tooling or start-up payment before production of new moulds begins.
- If payment is overdue we may suspend production, withhold shipment and charge interest at 1% per month or the maximum permitted by applicable law, whichever is lower.
- Bank charges, currency conversion costs and any transfer fees are borne by the Buyer unless otherwise agreed.
4. Delivery, shipping and risk
- Delivery terms follow the Incoterms 2020 rule stated in our quotation or order confirmation (for example FOB Ningbo, CIF, or DDP).
- Delivery dates are good-faith estimates based on our production plan. Time is not of the essence unless we agree otherwise in writing.
- Risk in the Products passes as provided by the applicable Incoterm and by law.
- Where shipping or export documents are required, the Buyer must provide accurate consignee, customs and tax details in good time.
Any delay or additional cost caused by incorrect or incomplete information supplied by the Buyer, or by the Buyer’s failure to take delivery, is the Buyer’s responsibility.
5. Specifications, tolerances and tooling
- Products are manufactured to the drawing revision and tolerances agreed in writing. Unless stated, we work to generally accepted die casting standards and normal commercial tolerances.
- Small differences in shade, surface texture, minor porosity and machining marks that do not affect function are not defects.
- Where we design or manufacture tooling for you, the agreed tooling price covers design, manufacture and testing. Unless we agree otherwise in writing, ownership of tooling passes to the Buyer only after the tooling is paid for in full.
- Tooling maintenance and repair after the warranty period, or caused by a change of design, are charged separately.
- Buyer-supplied samples, drawings, models and materials must be fit for purpose and free from third-party rights. We may rely on them without independent verification.
6. Intellectual property
All content on the Site — including text, photographs, drawings, technical data, logos and the design of the Site itself — is owned by us or our licensors and is protected by intellectual property laws. You may not copy, reproduce, republish, sell or exploit it for commercial purposes without our prior written consent.
7. Confidentiality
Each party will keep confidential the other party’s drawings, specifications, prices and other non-public technical or commercial information disclosed in connection with an enquiry or order, and will use it only for the purposes of that enquiry or order. This obligation does not apply to information that is or becomes public without breach of this clause, or that a party is required to disclose by law.
8. Inspection, defects and warranties
- The Buyer must inspect the Products on arrival and notify us in writing of any shortage, damage or visible defect within 15 days of delivery (or of the date the Products should have arrived). Hidden defects must be notified promptly after discovery, and in any event within 6 months of delivery.
- Where a valid claim is made in time, we may at our option repair or replace the affected Products, or credit the invoice value of the affected Products.
- Our Products are supplied for integration into the Buyer’s own products. It is the Buyer’s responsibility to verify that the Product is suitable for its intended use, and to carry out its own testing and any regulatory approvals.
- Except as expressly stated in these Terms, and to the fullest extent permitted by law, we give no other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.
9. Limitation of liability
To the fullest extent permitted by applicable law, and except for liability that cannot lawfully be limited:
- Our total aggregate liability arising out of or in connection with a contract is limited to the invoice value of the Products giving rise to the claim.
- We are not liable for loss of profit, loss of production, loss of business, loss of goodwill, or any indirect, special, incidental or consequential loss.
- We are not liable for defects or losses caused by the Buyer’s designs, drawings, materials or instructions, by normal wear, by misuse, or by modifications made by the Buyer or a third party.
10. Force majeure
Neither party is liable for a failure or delay in performance caused by events beyond its reasonable control, including natural disasters, epidemics, war, civil unrest, strikes, material shortages, government action, power cuts, transport disruption or failure of suppliers. The affected party will notify the other promptly, and either party may cancel the affected part of the order if the event lasts more than 60 days.
11. Termination
We may suspend or terminate access to the Site, or a contract, if you breach these Terms, if you become insolvent, or if we are required to do so by law. Clauses that by their nature should survive termination (including payment, confidentiality, intellectual property and liability clauses) will continue to apply.
12. Governing law and dispute resolution
These Terms and any contract formed under them are governed by the laws of the People’s Republic of China, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. The parties will first try to resolve any dispute through good-faith negotiation. If that fails, the dispute will be submitted to the competent court or arbitration commission in Ningbo, Zhejiang, China, unless the parties agree otherwise in writing.
13. Changes to these Terms
We may update these Terms from time to time. The version in force for an order is the version published on the Site at the time the order is confirmed, unless we agree otherwise in writing.
